1. Introduction
These Terms of Service (“Terms”) govern the contractual relationship between EcomKik Ltd (“EcomKik”, “we”, “us”, or “our”) and the client (“you” or “Client”). By purchasing, commissioning, or using our services, you agree to be bound by these Terms.

2. Scope of Services
We provide Shopify-related services including, but not limited to:
• Shopify store setup and development
• Theme customisation
• Speed optimisation
• Store configuration and content integration
The specific scope, deliverables, pricing, and timelines for each project will be confirmed in writing via invoice, email, or WhatsApp prior to payment. Any additional work outside the agreed scope may be subject to additional fees.
3. Payment Terms
Unless otherwise agreed in writing:
• Full payment is required upfront before work begins;
• All prices are quoted in GBP unless stated otherwise;
• We reserve the right to suspend or terminate services if payment is not received when due;
• Payments are non-refundable once work has commenced, except where required by law.
Nothing in these Terms affects your statutory rights.
4. Project Timeline and Delivery
4.1 Timeline
We aim to complete standard development projects within 7 calendar days from receipt of all required information and payment. Timelines are estimates and not guaranteed.
4.2 Client Responsibilities
Delays caused by failure to provide access, content, approvals, or feedback may extend the delivery timeline.
4.3 Handover
Delivery is deemed complete when:
• Shopify store ownership or collaborator access is transferred to you; or
• Code is installed and functioning on your live Shopify theme.
5. Communication Policy
• WhatsApp (+44 7438 805303) is our primary communication channel;
• We monitor messages during UK business hours (09:00–18:00 GMT, Monday to Friday);
• We are not responsible for delays caused by messages sent outside these hours.
6. Intellectual Property Rights
Upon full settlement of all outstanding invoices:
• You are granted full ownership of the custom code, design assets, and Shopify configurations created specifically for your project;
• Third-party themes, plugins, apps, fonts, or licenses remain subject to their respective owners’ terms;
• We retain the right to display completed projects in our portfolio and marketing materials unless a written Non-Disclosure Agreement (NDA) is in place.
7. Consumer Rights
If you are a consumer (as defined under the Consumer Rights Act 2015), nothing in these Terms limits or excludes your statutory rights. Services will be provided with reasonable care and skill.
8. Cancellation and Refunds
8.1 Cooling-Off Period
If you are a consumer, you have the right to cancel within 14 days of entering into the contract, unless:
• You have expressly requested that work begins during the cancellation period; and
• You acknowledge that you may lose your right to cancel once services have been fully performed.
8.2 Refunds
Where cancellation is valid, refunds will be calculated proportionally based on work completed.
9. Limitation of Liability
To the maximum extent permitted by UK law:
• We are not liable for loss of profits, revenue, business, or data;
• We are not liable for downtime, errors, or failures caused by Shopify, third-party apps, hosting providers, or external services;
• Our total liability for any claim arising under these Terms shall not exceed the total amount paid by you for the relevant services.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
10. Force Majeure
We shall not be liable for delays or failures caused by events beyond our reasonable control, including but not limited to acts of God, internet outages, platform failures, or government action.
11. Data Protection
We process personal data in accordance with our Privacy Policy, which forms part of these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute or claim arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. Updated versions will be published on our website and will apply to future services.
